Merger dan akuisisi

A Dutch M&A transaction runs through five stages: preparation and confidentiality, due diligence, structuring, clearances and consultation, and completion with post-closing filings. Three Dutch formalities decide whether the deal holds: shares in a BV only transfer by notarial deed (Article 2:196 of the Dutch Civil Code, BW), the works council must be asked for advice while it can still influence the decision (Article 25 of the Works Councils Act, WOR), and a notifiable concentration may not be completed before clearance by the Authority for Consumers and Markets (ACM).

Mitra panduan mengenai merger dan akuisisi di Belanda describes the commercial process. This checklist covers the legal steps that determine whether the deal actually completes.

Which rules and authorities apply?

Book 2 BW governs the companies, the Competition Act (Mededingingswet) governs merger control and the WOR governs employee involvement. Depending on size and sector, the Financial Supervision Act (Wft) and the Investment Screening Act (Wet veiligheidstoets investeringen, fusies en overnames, Vifo) apply as well.

  • ACM: reviews concentrations that meet the turnover thresholds.
  • AFM: supervises public offers for listed companies and approves the offer memorandum.
  • De Nederlandsche Bank (DNB): issues a declaration of no objection for qualifying holdings in banks and insurers.
  • Dutch Healthcare Authority (NZa): reviews concentrations in healthcare.
  • Investment Screening Bureau (Bureau Toetsing Investeringen, BTI): screens acquisitions of vital providers and sensitive technology companies.
  • Enterprise Chamber (Ondernemingskamer): hears works council appeals, inquiry proceedings and squeeze-outs; see our article on Risalah Kamar Perusahaan.

What do you check in the corporate documents first?

Read the articles of association and the shareholders agreement before you value anything. In a BV, yang anggaran Dasar usually contain a share transfer restriction: an offer obligation to co-shareholders or a requirement of prior approval.

Look for pre-emption rights, drag-along and tag-along clauses, approval rights of the supervisory board, veto rights of share classes and change-of-control clauses in key contracts. For an NV, a decision that significantly changes the identity or character of the company, such as selling practically the entire business, requires approval of the general meeting (Article 2:107a BW). Many BV articles contain a similar clause.

What do you arrange before signing?

Three documents set your negotiating position: a non-disclosure agreement, a letter of intent and a map of the stakeholders whose approval you need. Each has a specific legal function under Dutch law.

The perjanjian non-pengungkapan is signed before any figures are shared. Define what is confidential, who may receive it and what happens if the deal collapses. A penalty clause makes the obligation enforceable, although a court may reduce a manifestly excessive penalty (Article 6:94 BW). Where the target is a competitor, keep sensitive pricing and customer data in a clean team: exchanging it before clearance is itself a competition risk.

The letter of intent needs care, because under Dutch case law negotiations can reach a stage where breaking them off is unacceptable. The party that walks away may then have to pay damages, in exceptional cases including lost profit. State expressly which clauses bind (usually exclusivity, confidentiality, governing law and costs) and that no obligation to complete arises until a signed agreement exists.

What does due diligence cover?

Due diligence directly affects liability. Dutch law weighs the buyer’s duty to investigate against the seller’s duty to disclose, so what you did and did not investigate shapes what you can claim afterwards.

Informasi uji tuntas starts with the corporate chain: articles of association, shareholders register, resolutions and the extract from the Chamber of Commerce (KVK) trade register. Check that every historic share transfer was executed by notarial deed, because a defect from twenty years ago still affects title today. Then review material contracts for change-of-control clauses, employment and pension arrangements, any applicable collective labour agreement (cao), permits, intellectual property, real estate, disputes and GDPR compliance.

Financial and tax due diligence belong with your accountant and tax adviser; we do not give tax structuring advice. What matters legally is that each material risk ends up in one of four places in the contract: a price reduction, a specific indemnity, a condition precedent, or a risk accepted in writing.

Share deal, asset deal or statutory merger?

The structure decides what transfers, what stays behind and how long the process takes. A share deal transfers the company with all its history; an asset deal transfers only what you list; a statutory merger combines the entities themselves.

What changes in a share deal?

You acquire the shares, and the company continues with its contracts, permits, employees and all its liabilities, known and unknown. The transfer of BV shares requires a deed executed before a civil-law notary based in the Netherlands (Article 2:196 BW); a private written transfer is not valid.

Protection must therefore come from the share purchase agreement: warranties, a disclosure letter, specific indemnities, a cap and threshold, a survival period and, increasingly, warranty and indemnity insurance.

What changes in an asset deal?

Dalam pembelian aset you buy named assets and assume named liabilities. Each asset transfers under its own rules: real estate by notarial deed and registration, receivables by notice to the debtor, contracts with the counterparty’s cooperation.

Employees do not stay behind. If the transferred activity qualifies as a transfer of undertaking, their employment contracts pass to the buyer by operation of law with their existing terms (Article 7:663 BW), and dismissal because of the transfer is prohibited. The seller remains jointly and severally liable for one year for obligations that arose before the transfer.

How does a statutory merger work?

In a statutory merger the disappearing company ceases to exist and its assets and liabilities pass to the surviving company by universal succession. The procedure is fixed and cannot be shortened.

  • The boards draw up a merger proposal, which is filed with the trade register together with the last three adopted annual accounts (Article 2:314 BW), and the filing is announced in a national daily newspaper.
  • Creditors can object within one month after the announcement and ask for security (Article 2:316 BW).
  • The general meeting may only adopt the merger resolution after that month (Article 2:317 BW); if less than half of the issued capital is represented, a two-thirds majority is required (Article 2:330 BW).
  • The merger takes effect on the day after the notarial deed of merger is executed, which must happen within six months of the announcement (Article 2:318 BW).

Which clearances can delay completion?

Clearance obligations are suspensive: you may sign, but you may not complete. Under Article 29 of the Competition Act, a concentration must be notified to the ACM if the combined turnover of the parties in the previous calendar year exceeded €150 million and at least two of them each achieved at least €30 million in the Netherlands.

The concentration may not be implemented until four weeks after notification (Article 34 Mededingingswet). Within those four weeks the ACM decides whether a licence is required (Article 37). If so, it decides on the licence application within thirteen weeks (Article 44). Completing earlier (gun jumping) is a separate infringement that can be fined even if the deal raises no competition concerns. Lower thresholds apply in healthcare.

  • EU merger control: above the thresholds of the EU Merger Regulation (including combined worldwide turnover above €5 billion and EU turnover above €250 million for at least two parties), the European Commission decides instead of the ACM.
  • Foreign subsidies: since 12 October 2023, the EU Foreign Subsidies Regulation requires notification where the target has EU turnover of at least €500 million and the parties received more than €50 million in non-EU financial contributions in the previous three years.
  • Sector supervision: a qualifying holding in a bank or insurer requires a declaration of no objection from DNB (or the ECB for significant banks).
  • Investment screening: since 1 June 2023 the Vifo requires notification to the BTI of an acquisition of control over a vital provider or a company active in sensitive technology, with a standstill until the assessment is complete.

How do you involve the works council?

A company that normally employs at least 50 people must have a works council (Article 2 WOR). Under Article 25 WOR the works council must be given the opportunity to advise on a proposed decision to transfer control over the undertaking or a part of it.

The advice must be requested at a moment when it can still have a real influence on the decision, so before signing. If the decision deviates from the advice, implementation is suspended for one month (Article 25(6) WOR). Within that month the works council can appeal to the Enterprise Chamber (Article 26 WOR), which tests whether the entrepreneur could reasonably have reached the decision and can order it to be withdrawn. The SER Merger Code (SER-Fusiegedragsregels) may add notification duties towards trade unions.

What extra rules apply to a listed target?

For a company listed on a regulated market, the public offer rules of the Wft and the Public Offers Decree (Besluit openbare biedingen Wft) apply on top. Anyone who, alone or acting in concert, acquires at least 30% of the voting rights must in principle make a public offer for all remaining shares.

The offer memorandum needs AFM approval before publication. Under the EU Market Abuse Regulation, inside information must be published without delay unless a delay is lawful, and acquisition negotiations can be inside information long before the deal is certain. After a successful offer, a bidder holding at least 95% of the issued capital can squeeze out the remaining shareholders through the Enterprise Chamber.

Which pitfalls recur in Dutch deals?

The same mistakes return in deal after deal, and each can be prevented with planning. Most of them involve a formal step under Book 2 BW or the WOR that was missed or taken too late.

  • Works council as an afterthought: advice requested after the decision is effectively made is not advice within the meaning of Article 25 WOR.
  • Defective chain of title: a share transfer never executed by notarial deed, a shareholders register that does not match the deeds, or intellectual property never assigned to the company.
  • Incomplete conditions precedent: each required clearance, consent or bank waiver belongs in the agreement with a longstop date and a consequence.
  • Vague earn-out: define accounting policies, who prepares the figures, what the buyer may do with the business and how disputes are resolved.
  • Undefined price mechanism: in a locked box, prohibit leakage after the locked box date; with completion accounts, define cash, debt and normalised working capital.
  • Excessive deal protection: a Dutch board must act in the interest of the company and all its stakeholders (Article 2:129(5) and 2:239(5) BW), so break fees and no-shop clauses must stay proportionate.

After completion, update the shareholders register, file changes with the KVK trade register and align financing and security documents.

Apa yang harus Anda periksa sebagai pembeli?

  • Has every historic share transfer been executed by notarial deed (Article 2:196 BW)?
  • Do key contracts contain change-of-control or assignment clauses?
  • Do the ACM thresholds of Article 29 Mededingingswet, the EU thresholds or the Vifo apply?
  • Has each due diligence finding been translated into price, indemnity, condition or accepted risk?
  • Will employees transfer by operation of law in an asset deal (Article 7:663 BW)?
  • What security do you have if the seller is a holding company without assets after distribution?

Apa yang harus Anda periksa sebagai penjual?

  • Do the articles of association or shareholders agreement require approvals or offer rights?
  • Have you disclosed what you know to be decisive for the buyer, given your duty to disclose?

Pertanyaan yang sering diajukan

Can shares in a Dutch BV be transferred by a signed purchase agreement alone?

No. The purchase agreement creates the obligation to transfer, but the transfer itself requires a deed executed before a civil-law notary based in the Netherlands (Article 2:196 BW). Without that deed, the buyer does not become shareholder.

When must the ACM be notified?

When the combined turnover of the parties in the previous calendar year exceeded €150 million and at least two of them each achieved at least €30 million in the Netherlands (Article 29 Mededingingswet). The deal may not be completed until four weeks after notification, or until a licence is granted if the ACM requires one.

Can the works council block a takeover?

Not directly, but it has a strong position. If the decision deviates from its advice, implementation is suspended for one month and the works council can appeal to the Enterprise Chamber (Articles 25 and 26 WOR), which can order the decision to be withdrawn if it could not reasonably have been taken.

Do employees transfer in an asset deal?

Yes, if the transaction qualifies as a transfer of undertaking. Their employment contracts pass to the buyer by operation of law with their existing terms, and the seller remains jointly liable for one year for obligations arising before the transfer (Article 7:663 BW).
